TERMS AND CONDITIONS OF USE COLLEGE X-ING LLC

Use of this website (“Site”) and its content are subject to the following terms and conditions (“Terms of Use”). By using the Site, you acknowledge and agree to the contractual terms of College X-ING LLC’s Terms of Use. If any provisions of the Terms of Use are unacceptable to you, do not use the Site. If you are a resident or citizen of an EU country, you are not permitted to, and may not, use the Site or complete any forms pertaining to the Site and its use. If you are a student under the age of 14 years, you are not permitted to, and may not, use the Site or complete any forms pertaining to the Site and its use. If you are a student of 14, 15, 16 or 17 years of age, parental consent will be required.

The Site is operated by College X-ING LLC (the “Company”) for the purpose of (a) providing students of high school or greater age a platform to assist them in choosing an appropriate major course of study prior to enrolling and enrolled college students with no chosen course of study by providing ; and (b) offering a platform to schools to enable them to offer qualifying students with an ai tool to enter the platform. The terms “we,” “us” and “our” refer to College X-ING LLC. and its personnel.

General Provisions

Collecting and Using Your Personal Data

Collecting and using your personal information (“Personal Data”) is provided for and including in our Privacy Policy consisting of the following: :

Your name
Your email address
Age
Grade or Level
Usage data, which is collected automatically when you are using the Site Parent or Guardian’s first and last names
Parent or Guardian’s email address

 

Intellectual Property:

Site questionnaires and other documents prepared by the Company for its own use are intellectual property of the Company. And such materials prepared by the Company are copyrighted by it and may not be used by you for personal purposes or other intended use without the express written permission of the Company.

College X-ING and CX/CX are trademarks owned by the Company and may not be used by you without obtaining a license from the Company.

Disciplinary Actions: Your violating the Terms of Use may result in disciplinary actions, such as removal from the Site.

Payment Policies: You will be billed monthly (starting with the month and day of sign-up) until you cancel your subscription. Your failure to pay the periodic fees on a timely basis may result in disciplinary action and removal from the Site.

DISCLAIMERS

You expressly acknowledge and agree that your use of the Site is at your sole risk and that the functions of the Site are provided “as is” and “as available.” The Company, its affiliates, employees, agents and licensees do not represent or warrant to you that:

  1. Your use of the Site will meet your requirements;

  2. Our use of the Site will be uninterrupted, timely. secure or free from error; or

  3. Any information obtained by you as a result of your use of the Site will be accurate or reliable.

The Company, its employees, agents and licensees further expressly disclaim all warranties of any kind, whether expressed or implied, including, but not limited to, the implied warranties and conditions of merchantability, fitness for a purpose and non- infringement.

   

LIMITATION OF LIABILITY

You understand and agree that the Company, its affiliates, employees, agents and licensees shall not be liable to you for:

  1. Any indirect, incidental special. consequential or exemplary damage which may be incurred by you, however caused or under any theory of liability;

  2. Any loss which may be incurred by you, including but not limited to, loss or damage incurred due to any changes to the Site or for any temporary or permanent cessation of the Site, or deletion of, corruption of or failure to store any content and other data maintained or transmitted by or through your use of the Site;

  3. Any mental issues, suicidal thoughts or physical harm to you or others arising from your use of ai tools in a manner that leads your questioning down to unintended routes that Impact you or other persons; or

  4. Your failure to provide the Company with.accurate information.

Disputes and Applicable Law

Arizona law shall be applicable to disputes hereunder in all cases. Disputes will be handled in three phases, first with a meeting between the parties to resolve the dispute internally. If that is not effective within five (5) business days of the initiation of discussion, then either party may request non-binding mediation of the issue(s) in Maricopa County, Arizona by an attorney licensed in Arizona who possesses substantial experience in Arizona business and commercial law and mediation experience. In the event that mediation is not successful, then either party may initiate litigation in an appropriate court in Maricopa County, Arizona in accordance with Arizona law.

This Privacy Policy describes the policies and procedures of College X-ING, LLC (“we”, “our” and “us”) in connection with our collection, use and disclosure of the information (“Personal Data”) of persons using our website (Site ”). By using the Site, you agree to and accept our Privacy Policy. If any of the provisions of this Privacy Policy are unacceptable to you, do not use our Site. By accessing our Site, you also agree to our Terms and Conditions, which establishes the legal aspect of our relationship.

The purpose of the Privacy Policy is to disclose such matters as the Personal Data we will collect from you, how that Personal Data is used and shared and how you may access your Personal Data.

Upon sign up, you will have the opportunity to access our ai platform in order to provide us with your information concerning a number of subjects and your personal preferences as to occupations, locations, income goals, status, job trends and projections in order learn your preferences concerning a variety of factors that will assist us in making recommendations to you in order to learn your preferences on a variety of subjects that will assist us in offering you possible college majors and careers for you to consider in making good choices prior to your entering college or assisting you if you are in college, but have not yet selected a major or career path.

We will utilize the Personal Data you have provided us to assist us in learning your preferences so that we can make meaningful recommendations to you in order to learn your preferences on a variety of subjects that will assist us in offering you possible college majors and careers to consider.

We may use your Personal Data for the following purposes to:

  1. maintain our Website and monitor your usage of the Website;

  2. update source information to maintain the Site, the Site’s relevance and

the Site’s accuracy;

.c. manage your account as a user of the Website;

.d. contact you by email, telephone, SMS or other equivalent forms electronic communication to relate functionalities and security alerts, if necessary;

. e. provide recommendations as to potential college course majors and careers that might be acceptable to you based upon information that you provide to us;

.f. assist you with course major and career recommendations based upon information you have provided us; and

-g. provide you with news, guides, resources and general information about our Website.

Sharing Your Personal Data:

We may share your Personal Data for the following purposes:

a. with website providers to analyze and monitor the use of our website by you;

b. with third parties during negotiations with respect to any merger, sale of our assets, financing or transfer all or a portion of our business to another organization;

c. with companies in which we have a 50% or greater ownership interest; and

d. with universities for the purpose of enabling them to acquire with information concerning enabling colleges and universities interested in acquiring the personal data of our participating students, including your Persona Data, for their enrollment marketing.

We may retain your Personal Data as necessary for the purposes you have contracted for and for a period not exceeding three years (3) beyond the termination or end of our business relationship with you except for matters we must retain to comply with our legal or statutory obligations, resolve disputes and/or enforce our legal agreements and policies.

Your information, including Personal Data, will be processed at our business location in Arizona, but may be stored outside of Arizona. By using the Website, represents your agreement to the transfer of your Personal Data.
